Terms of Use

Effective date: [Effective date] · Last updated: [Last updated date]

These terms set the rules for using Proflance — the public website at proflance.com and the Proflance mobile app for Experts. Please read them together with our Privacy Policy, which explains how we handle your personal data.

1. About these terms

Proflance is operated by [Legal entity name], registered office [Registered address] (“Proflance”, “we”, “us”). By creating an account, opening a CV Share or sending an enquiry, you agree to these terms. If you do not agree, please do not use Proflance.

Proflance is a curated network: our team sources and vets Experts, matches them to clients’ Opportunities, and runs each Assignment through to completion and rating. Clients do not have their own accounts; our team works with them directly.

2. Who can use Proflance

  • Experts must be at least 18 and able to enter a binding contract under Indian law.
  • Client Contacts use Proflance only to view CVs our team shares with them, on behalf of their organisation.
  • Anyone may browse the public website.

3. Your account

  • One person, one account. Each real person may hold only one Expert account. You can sign in with several methods — phone, email, Google or Apple — and add or remove them from inside your account. You cannot remove your last sign-in method.
  • Keep it secure. You are responsible for the phones, email accounts and Google or Apple accounts you sign in with. Tell us at once if you think someone else has access.
  • Linking sign-in methods. To add a new method you must sign in again and prove you own the new phone, email or account. If it already belongs to another Proflance account, we will refuse the link and our team will review it.
  • Duplicate accounts. If we believe two accounts belong to the same person, our team may send a merge notice to both. You can confirm or dispute it; if nobody responds by the deadline (14 days by default), an administrator may merge the accounts. Merges are always carried out by a person, never automatically. If you already have an account you’ve lost access to, you can report it from inside the app.

4. Your profile and content

  • Be accurate. Everything you put on your Profile and CV must be true and yours to share. Values our system suggests from your CV are only added when you confirm them, so check them carefully.
  • You own your content. You give Proflance a non-exclusive, royalty-free licence to store, process and display your Profile, photo and CVs as needed to run Proflance — for example to show the fields you made public, to read your CV and suggest Profile values, to create redacted copies of your CV, and to share your CV with Client Contacts through CV Shares. This licence ends when your account is erased, except for the anonymised records described in the Privacy Policy.
  • You control what is public. Your Profile is private by default and you choose, field by field, what to make public. CVs are never public.

5. Opportunities and Assignments

  • No guarantee of work. Opportunities come from our clients. We do not promise that you will be matched, invited, shortlisted or selected. Selection decisions are made by our team.
  • What you see. You can see Public and Experts-only Opportunities; Invite-only ones only when invited. A client’s identity may be hidden. Budgets and Quotes are always the amount you receive.
  • Applying. You apply once per Opportunity with a Quote. You can withdraw an Application until it is selected. Invitations expire, after 7 days by default.
  • Assignments. When you are selected, or when our team assigns you directly, an Assignment is created with an agreed amount. Do the work professionally and as agreed.
  • Payment. Proflance does not process payments in the app. Payment for each Assignment is settled outside the platform, under [payment terms / Expert engagement agreement].
  • Your status. [Relationship between Proflance and Experts, e.g. independent contractor; tax and GST responsibilities]
  • [Non-solicitation / non-circumvention terms, if any]

6. Ratings and Reviews

After an Assignment is completed, the client and the Expert may each rate the other once, within 30 days. Ratings cannot be edited and are not public. Our team may enter a client’s Rating on their behalf. Experts see their average scores once they have at least three Ratings, but never individual Reviews. Be honest and fair; do not offer or ask for anything in exchange for a Rating.

7. Verifications and Badges

Our team may verify your identity, credentials, Services or Industries using evidence you provide, and Badges are awarded automatically from those Verifications and other facts. Verifications expire, and a Badge disappears when its Verification does. Do not submit false or altered evidence. A Badge shows that we checked something at a point in time; it is not a guarantee of an Expert’s work.

8. Referrals

You can refer people you know by entering their phone number or email and sharing your personal invite link yourself — Proflance never contacts them. Only refer people who would expect to hear from you, and do not spam. Referrals are tracked through their stages, but Proflance does not currently offer referral rewards; any future reward scheme will have its own terms.

9. Messages

We send security notices and updates about your own Applications and Assignments to keep your account working; you cannot turn these off. You can opt in or out of marketing messages and set Do Not Disturb, which pauses marketing and Opportunity alerts.

10. CV Shares for Client Contacts

If our team sends you a CV Share link, you agree to:

  • use the CV only to evaluate that Expert for your organisation’s work with Proflance;
  • not forward the link or a copy of the CV outside the people at your organisation who need it;
  • delete any copies when they are no longer needed.

Each link works only for you (it needs a code sent to your email), expires, may be revoked at any time, and every view is logged.

11. The public website and enquiries

Public profiles show only what each Expert chose to make public. Enquiries sent through “Contact this Expert” go to our team, not to the Expert, and we decide how to follow up. Do not use the enquiry form for spam or unsolicited marketing; we limit how many enquiries can be sent.

12. Acceptable use

You must not:

  • give false information, impersonate anyone, or create more than one Expert account;
  • upload content you have no right to share, or that is unlawful, defamatory or harmful;
  • scrape, copy or bulk-download profiles, opportunities or other data, except as search engines normally index public pages;
  • try to get around security, access accounts or data that aren’t yours, or disrupt the service;
  • upload malware or interfere with other people’s use of Proflance;
  • use Proflance in breach of any law, including the Information Technology Act, 2000 and its rules.

13. Deleting your account and suspension

You can delete your account at any time from the app. Your CV Shares are revoked straight away and your account is erased after a 14-day grace period, during which signing in cancels the request. If you have an Assignment that is confirmed or in progress, erasure waits until it is completed or cancelled. The Privacy Policy explains exactly what is erased and what is kept anonymised.

We may suspend or close an account that breaks these terms or the law, or to protect other users, and will tell you why unless the law prevents us. [Notice and appeal process for suspensions]

14. Disclaimers and liability

We work to keep Proflance accurate and available, but it is provided “as is”. Profiles are written by Experts; we verify some claims but cannot guarantee every statement on a profile. Proflance is not liable for work performed by Experts for clients except as agreed in writing for a specific Assignment.

[Limitation of liability and indemnity terms, to be drafted by counsel]

15. Governing law and disputes

These terms are governed by the laws of India. Courts at [City] have exclusive jurisdiction, subject to [arbitration or other dispute-resolution clause, if any].

16. Changes to these terms

We may update these terms. For material changes we will tell Experts in the app or by email before they take effect. Continuing to use Proflance after that means you accept the new terms.

17. Contact and grievances
